In connection with its invitation to holders of its outstanding £150,000,000 5.875 per cent. Subordinated Callable Notes due 2019 (the Existing 2019 Notes) and holders of its outstanding £150,000,000 Fixed/Floating Rate Subordinated Notes due November 2021 (the Existing 2021 Notes and, together with the Existing 2019 Notes, the Existing Notes) to offer their Existing Notes for Sterling Denominated 7.875 per cent.
